- More than 15 years with national and international business law firms, in Paris (1992-1998) and Lyon (since 1998).
- Various cases of acquisitions, business sales and joint-ventures, some with significant international components.
- Resolution of disputes between shareholders and/or managers.
- Incorporation and management of corporate affairs for companies and groups (listed and not listed).
- Creation and management of one of the first “airport companies” in France.
- Responsable for due diligences activities in the law firm of one of the biggest international multi disciplinary networks (buying and selling sides).
- Build up and debt refinancing operations for groups (under LBO).
- Understanding of environmental issues arising during transactions.
Some examples of work
- Drafting and negotiation of sale and purchase agreements, shareholders’ agreements and guaranties.
- Assistance whith execution of guaranties.
- Litigation related to the application of a golden parachute clause.
- Vendor due diligence relating to French assets, notably real estate, of an international group.
- Drafting of ’suis generis’ agreements in the context of sale and break-up of companies (notably agreements regarding the business and specific assets – for instance water cleaning facility).
